1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Member," "you," or "your") and Web Profits Ninja ("we," "us," or "our"). By registering for or using any part of the Web Profits Ninja platform, including accessing digital products, AI tools, PLR content, or any other service offered through webprofitsninja.com, you acknowledge that you have read, understood, and agree to these Terms in full.

We reserve the right to update these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.

2. Membership & Account

To access premium content and features, you must create an account and maintain an active membership subscription.

• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised access to your account.
• Accounts are personal and non-transferable. You may not share login credentials with others.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription, Billing & Cancellation

Web Profits Ninja offers subscription-based membership plans. Billing terms vary by plan and are disclosed at the time of purchase.

• Free Trial: Where offered, a free trial provides temporary access to the platform. Your payment method will be charged at the end of the trial period unless you cancel beforehand.
• Recurring Billing: Subscriptions automatically renew at the end of each billing cycle. You authorise us to charge your payment method for each renewal.
• Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
• No Partial Refunds: We do not issue refunds for partial subscription periods or unused time.
• Price Changes: We reserve the right to modify pricing with reasonable notice prior to your next renewal.

4. Refund Policy

Due to the digital nature of our products and the immediate access granted upon purchase, all sales are final unless otherwise stated at the point of sale or required by applicable law.

If you experience a technical issue that prevents access to purchased content, please contact us at support@webprofitsninja.com within 7 days of purchase, and we will work to resolve it. Refund eligibility for technical issues is assessed on a case-by-case basis.

5. Digital Products & PLR Licence

Web Profits Ninja grants you a limited, non-exclusive licence to access and use the digital products (including PLR, MRR content, AI prompts, eBooks, templates, and other downloads) available through your membership, subject to the following conditions:

• Personal & Commercial Use: You may use PLR and MRR products for personal use and resale as permitted by the specific licence terms attached to each product.
• Modifications: You may edit, rebrand, and adapt PLR content as indicated by the product's licence. Not all products carry identical licence rights — check the individual product licence.
• No Resale of the Membership: You may not resell, sublicense, or redistribute access to the Web Profits Ninja platform, vault, or membership itself.
• No Redistribution of Tools: Proprietary tools, AI systems, and software made available through the platform are for your use only and may not be redistributed or reverse-engineered.
• Attribution: Where required by a product's licence, you must retain or include appropriate attribution.

6. Acceptable Use

You agree to use Web Profits Ninja only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the platform to distribute spam, malware, or any harmful content.
• Attempt to gain unauthorised access to any part of the platform or its infrastructure.
• Use automated tools (bots, scrapers, crawlers) to extract content from the platform without our written permission.
• Engage in any activity that disrupts or interferes with the platform's normal operation.
• Impersonate another person or entity, or misrepresent your affiliation.
• Use the platform to conduct or facilitate any fraudulent, deceptive, or illegal activity.
• Upload or share content that infringes third-party intellectual property rights.

Violation of these rules may result in immediate account termination without refund.

7. Intellectual Property

All content, branding, code, design, and materials on the Web Profits Ninja platform (excluding licensed PLR content) are owned by or licensed to us and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our proprietary content without prior written consent.

PLR products are licensed to you under the terms specified per product and do not transfer ownership of the underlying intellectual property to you.

8. Affiliate Programme

Web Profits Ninja operates an affiliate referral programme. Participation is subject to separate Affiliate Programme Terms, which are incorporated by reference. Key points:

• Commissions are earned on qualifying referrals as defined in the Affiliate Terms.
• Fraudulent referrals, self-referrals, or use of deceptive promotional methods will result in commission forfeiture and account termination.
• Commissions are paid out according to the schedule defined in the Affiliate Terms.
• We reserve the right to modify or terminate the affiliate programme at any time with notice.

9. Disclaimer of Warranties

Web Profits Ninja is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that:

• The platform will be uninterrupted, error-free, or fully secure.
• Results described in testimonials or marketing materials are typical or guaranteed for you.
• Digital products will meet every specific requirement of your business.

Income & Earnings Disclaimer: Any income or earnings examples shown are not guarantees or projections of your future results. Business results vary based on skill, effort, market conditions, and many other factors. You accept full responsibility for your own results.

10. Limitation of Liability

To the maximum extent permitted by law, Web Profits Ninja and its owners, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the platform, including but not limited to lost profits, lost data, or business interruption.

Our total liability for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Privacy & Data

Your use of the platform is also governed by our Privacy Policy. By using Web Profits Ninja, you consent to the collection and use of information as described therein. We take reasonable steps to protect your data but cannot guarantee absolute security.

We do not sell your personal information to third parties. Data is used solely to provide and improve the service, communicate with you, and process payments.

13. Account Termination

We reserve the right to suspend or permanently terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or act in a manner harmful to the platform or other members. Upon termination:

• Your access to the platform and all digital products will be revoked immediately.
• Outstanding commissions may be forfeited if termination is due to a policy violation.
• You remain responsible for any charges incurred prior to termination.

You may also terminate your account voluntarily at any time by cancelling your subscription and contacting support.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the platform shall first be attempted to be resolved informally by contacting us at support@webprofitsninja.com. If informal resolution fails, disputes shall be resolved through binding arbitration or the courts of the applicable jurisdiction, as required by law.

15. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or in-app notification. Your continued use of Web Profits Ninja after any changes constitutes acceptance of the updated Terms.
